Welcome to FELYN.

The terms “we,” “us,” and “our” refer to FELYN, operated by WFHS Holdings Inc., an Ontario corporation.

FELYN operates this store and website, including the information, content, features, tools, products, and services made available through it (collectively, the “Services”). Our online store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service (“Terms”), together with any policies referenced herein, describe your rights and responsibilities when accessing or using the Services.

Please read these Terms carefully. They contain important information regarding your legal rights, including provisions relating to warranties, limitations of liability, and dispute resolution.

By visiting, interacting with, purchasing from, or otherwise using the Services, you agree to these Terms and our Privacy Policy.

If you do not agree with these Terms or our Privacy Policy, you should not use the Services.

We make reasonable efforts to display and describe our products accurately, including their colours, materials, features, and appearance.

However, colours and product appearance may vary depending on your device, display settings, lighting, photography, manufacturing variations, and other factors.

We cannot guarantee that your device will display product colours or other visual characteristics with complete accuracy.

Product descriptions, specifications, prices, and availability may be changed without notice where permitted by law.

We reserve the right to discontinue products and to limit quantities or availability by customer, geographic region, or jurisdiction where reasonably necessary.

SECTION 3 – ORDERS

When you submit an order, you are making an offer to purchase the products included in that order.

Receipt of an order confirmation does not necessarily constitute final acceptance of your order. FELYN reserves the right to accept, decline, limit, or cancel an order where permitted by applicable law, including in cases involving suspected fraud, pricing or inventory errors, payment issues, product availability, or other legitimate business reasons.

Payment must be successfully authorized and processed before an order can be fulfilled.

Please review your order carefully before submitting it. Once an order enters processing or fulfillment, we may not be able to modify or cancel it.

If we cancel or materially change an order, we will make reasonable efforts to notify you using the contact information provided with the order. Where payment has already been collected for a cancelled item or order, an appropriate refund will be issued.

Purchases and returns are also subject to our Return and Refund Policy.

Products purchased through FELYN are intended primarily for personal or household use unless otherwise agreed by us.

SECTION 4 – PRICES, TAXES AND BILLING

Prices, discounts, and promotions may change without notice.

The price charged for a product will generally be the price displayed when the order is submitted, subject to correction of obvious errors where permitted by applicable law.

Unless otherwise stated, displayed prices do not include applicable taxes, shipping charges, duties, customs charges, or other charges that may apply to an order.

Applicable charges will be presented during checkout where they can reasonably be determined by us.

Promotional offers may be subject to additional terms. Where specific promotional terms conflict with these Terms, the promotional terms will apply to that promotion.

You agree to provide accurate and current billing, payment, shipping, and contact information.

By providing a payment method, you represent that you are authorized to use that payment method and authorize the applicable charges associated with your order.

SECTION 5 – SHIPPING AND DELIVERY

Orders are generally processed in accordance with our Shipping Policy.

Shipping rates and available delivery methods are presented at checkout where applicable.

Delivery dates and transit times are estimates and are not guaranteed unless expressly stated otherwise.

Shipping may be affected by carrier delays, weather, customs processing, holidays, incorrect delivery information, service disruptions, or other circumstances outside our reasonable control.

Where applicable, tracking information will be provided after an order has shipped.

Nothing in this section limits any rights you may have under applicable consumer protection law.

SECTION 6 – INTELLECTUAL PROPERTY

The Services and their content, including, where applicable, the FELYN name, branding, logos, product names, photographs, graphics, designs, text, videos, audio, website design, and other materials, are owned by or licensed to FELYN, WFHS Holdings Inc., or their applicable licensors and may be protected by Canadian and international intellectual property laws.

The Services are provided for your personal, non-commercial use.

Except where permitted by law or with our prior written authorization, you may not reproduce, distribute, modify, publish, display, transmit, sell, exploit, or create derivative works from protected materials made available through the Services.

Nothing contained in these Terms grants you ownership of or a licence to use FELYN trademarks, branding, copyrighted materials, or other intellectual property except as expressly stated.

Shopify's names, trademarks, logos, and other intellectual property remain the property of Shopify or its applicable licensors.

All other third-party trademarks and intellectual property belong to their respective owners.

SECTION 7 – OPTIONAL TOOLS AND SERVICES

We may provide access to tools, features, applications, payment services, or other functionality provided by third parties.

We may not control or monitor all third-party tools made available through the Services.

Third-party tools may be provided “as is” and “as available,” subject to applicable law and the terms and policies of the applicable third-party provider.

Your use of third-party tools is at your discretion, and you should review the applicable third-party terms and privacy practices before using them.

We may introduce new features, tools, resources, or services in the future. Unless otherwise stated, such additions will form part of the Services and will be subject to these Terms.

We do not control third-party websites and are not responsible for their content, accuracy, availability, products, services, security, or privacy practices.

Accessing a third-party website is at your discretion.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

FELYN's online store is powered by Shopify, which provides technology enabling us to offer the Services to you.

Purchases made from FELYN are transactions between you and FELYN, operated by WFHS Holdings Inc., and not purchases from Shopify.

Shopify is not the seller of FELYN products.

Shopify's involvement in the Services is subject to Shopify's own applicable terms, policies, and legal obligations.

Nothing in these Terms is intended to limit rights or remedies that cannot legally be excluded or limited.

SECTION 10 – PRIVACY

Personal information collected through the Services is handled in accordance with our Privacy Policy and applicable privacy laws.

Because our online store is powered by Shopify, Shopify may collect and process certain personal information in connection with your access to and use of the Services.

Information may also be processed by payment providers, shipping providers, analytics providers, and other service providers necessary to operate the store and fulfill transactions.

SECTION 11 – FEEDBACK, REVIEWS AND SUBMISSIONS

If you voluntarily submit reviews, comments, ideas, suggestions, photographs, feedback, or other content to us (“Feedback”), you represent that you have the necessary rights to provide that Feedback.

Unless otherwise agreed, you grant FELYN and WFHS Holdings Inc. a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, distribute, adapt, and publish Feedback for purposes connected with operating, improving, and promoting FELYN and the Services, subject to applicable law.

You must not submit Feedback that infringes another person's intellectual property, privacy, publicity, or other legal rights.

Feedback must not contain unlawful, defamatory, abusive, obscene, fraudulent, or malicious material or malicious software.

You remain responsible for Feedback you submit.

Where required by law, any material connection, compensation, or incentive associated with a review or endorsement must be appropriately disclosed.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

From time to time, information made available through the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, availability, shipping charges, delivery estimates, or other information.

Where permitted by applicable law, we may correct errors, update information, or cancel affected orders.

If an order is cancelled after payment has been collected, an appropriate refund will be issued.

We make reasonable efforts to provide accurate information and reliable Services.

To the maximum extent permitted by applicable law, we do not guarantee that the Services will always be uninterrupted, completely secure, error-free, or available at all times.

Any warranties, conditions, guarantees, or rights that cannot legally be excluded remain unaffected.

Nothing in these Terms excludes or limits statutory warranties or consumer rights that apply to you under applicable law.

SECTION 17 – LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, FELYN, WFHS Holdings Inc., and their respective directors, officers, employees, contractors, service providers, affiliates, and agents will not be liable for indirect, incidental, special, punitive, or consequential damages arising from or relating to your use of the Services or products purchased through the Services.

This limitation does not apply where liability cannot legally be excluded or limited.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence where such liability cannot lawfully be limited, or any other liability that cannot be excluded under applicable law.

Your statutory and consumer protection rights remain unaffected.

SECTION 18 – INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify and hold harmless FELYN, WFHS Holdings Inc., and their respective directors, officers, employees, affiliates, agents, contractors, licensors, and service providers from third-party claims, losses, liabilities, and reasonable costs arising directly from:

1. Your material breach of these Terms;
2. Your unlawful use of the Services; or
3. Your infringement of another person's rights.

This provision does not require you to indemnify us for losses caused by our own unlawful conduct and does not limit rights that cannot be waived under applicable law.

SECTION 19 – SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect to the extent permitted by law.

SECTION 20 – WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right under these Terms does not constitute a waiver of that right.

These Terms, together with the policies and other terms expressly incorporated into them, constitute the agreement governing your use of the Services, subject to any rights that cannot be excluded under applicable law.

SECTION 21 – ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms without our prior written consent, except where applicable law provides otherwise.

We may assign or transfer our rights and obligations in connection with a corporate reorganization, merger, acquisition, sale, transfer of business, or similar transaction, subject to applicable law.

These Terms and any separate agreements through which we provide the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada.

Subject to applicable consumer protection laws and any rights that cannot legally be waived, disputes arising from or relating to these Terms or the Services shall be subject to the jurisdiction of the courts of Ontario, Canada.

Nothing in this section deprives a consumer of protections or rights provided by mandatory laws applicable to them.

Headings are provided for convenience and organization only and do not affect the interpretation of these Terms.

The current version of these Terms will be available through our website.

We may update these Terms from time to time to reflect changes to our Services, business practices, legal requirements, or other operational needs.

Where required by applicable law, we will provide notice of material changes.

Changes will take effect when stated in the applicable notice or when the updated Terms are posted, as permitted by law.

Your continued use of the Services following an update constitutes acceptance of the updated Terms to the extent permitted by applicable law.
